These Terms of Service are published by Cadabra Secure Private Limited (trading as Cadabra India). The same Terms text is also published at /policies/terms-of-service; both URLs are authoritative and identical.

1. Acceptance of Terms

By accessing or using the Cadabra India website (cadabraindia.co), placing an order, or engaging with our sales team, you agree to be bound by these Terms of Service ("Terms") in full. These Terms apply to all visitors, registered users, resellers, system integrators, distributors, and enterprise buyers ("Customer" or "you") who access or use our platform and services. If you do not agree with any part of these Terms, you must not use our website or services.

2. Eligibility & Account Registration

Cadabra India is a B2B-focused platform. To place orders or access wholesale pricing, you must:

  • Be a registered business entity (Pvt Ltd, LLP, Partnership, Proprietorship, etc.)
  • Be at least 18 years of age and legally authorised to enter into contracts
  • Provide accurate business information including company name, address and GSTIN (if applicable)
  • Not misrepresent your identity, business type or intended use of products

Cadabra India reserves the right to approve or reject any account registration without providing a reason, and to suspend or terminate accounts that violate these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us of any unauthorised use at amit@cadabraindia.co.

3. Products & Pricing

All products listed on cadabraindia.co are genuine, brand-authorised items sourced directly from authorised distributors or brand principals (TP-Link, Dahua Technology, Honeywell, Sigur, Wipro, Brivo). We do not sell grey-market, refurbished, or counterfeit products.

  • Pricing. All prices displayed are exclusive of GST unless stated otherwise. GST is added at checkout based on applicable rates.
  • Price changes. Prices are subject to change without prior notice due to market conditions, brand revisions, or currency fluctuations.
  • Stock availability. Availability is not guaranteed until order confirmation. We reserve the right to cancel orders for out-of-stock items with a full refund.
  • Images. Product images are for illustration only. Actual products may vary slightly in appearance.
  • B2B pricing. Special pricing for bulk orders, resellers, and project requirements is available on request and is not binding unless confirmed in writing.

4. Orders & Payment

Placing an order on cadabraindia.co or via our sales team constitutes an offer to purchase. An order is confirmed only on receipt of our written confirmation and/or payment clearance.

  • GST invoices are issued for all orders. Your GSTIN must be provided at the time of ordering to be reflected on the invoice.
  • Cadabra India reserves the right to cancel any order suspected of fraud, misrepresentation, or policy violation.
  • Minimum order quantities (MOQ) may apply to select product lines and are communicated at the time of quoting.

5. Shipping & Delivery

  • Dispatch. Orders are dispatched within 24–48 business hours of payment confirmation, subject to stock availability.
  • Free shipping. On orders above ₹25,000 (exclusive of GST) to serviceable pincodes across India.
  • Shipping charges. Applied to orders below ₹25,000 based on weight, dimensions, and delivery location.
  • Delivery timelines. Metro cities 2–4 days; Tier 2/3 cities 4–7 days; remote areas 7–10 days.
  • Risk of loss. Title and risk of loss pass to the buyer upon dispatch. Cadabra India is not liable for delays caused by logistics partners.
  • Inspection on delivery. Customers must inspect packages at delivery. Damaged packaging must be noted on the delivery receipt and reported within 48 hours.
  • Phased delivery. For large B2B orders, phased delivery schedules can be arranged on request.

6. Returns, Refunds & Cancellation

Returns, refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.

7. Intellectual Property

All content on cadabraindia.co — including text, images, logos, product descriptions and design — is the property of Cadabra Secure Private Limited or its content suppliers and is protected under applicable Indian intellectual property laws.

  • You may not reproduce, distribute, or commercially exploit any content from our website without prior written consent.
  • Brand names, trademarks and logos of TP-Link, Dahua, Honeywell, Sigur, Wipro and Brivo are the property of their respective owners.
  • Product datasheets and documentation are provided for customer reference only and may not be redistributed commercially.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Cadabra India shall not be liable for:

  • Any indirect, incidental, special, or consequential damages arising from the use of our products or services.
  • Loss of profit, revenue, data, or business opportunity resulting from product failure or delivery delays.
  • Damages arising from improper installation, misuse, or unauthorised modification of products.
  • Any claims exceeding the invoice value of the specific product giving rise to the claim.
  • Third-party service failures including courier delays, payment gateway issues, or manufacturer service-centre delays.

Cadabra India acts as a distributor and is not the manufacturer of any product. Product performance warranties are governed by the respective manufacturer's warranty terms.

9. Privacy & Data

Personal information collected through the Services is subject to our Privacy Policy. We retain transaction records (including GST invoices) for at least seven (7) years as required under Indian tax laws. The contact details of our Grievance Officer (Information Technology Act, 2000 and Digital Personal Data Protection Act, 2023) are listed in the Privacy Policy.

10. Prohibited Use

You agree not to use cadabraindia.co or our services for:

  • Purchasing products for resale in violation of authorised channel-partner agreements.
  • Fraudulent transactions, chargebacks, or misrepresentation of business identity.
  • Scraping, harvesting, or collecting pricing data, product listings, or customer information.
  • Attempting to gain unauthorised access to our systems or customer data.
  • Placing orders with false GSTIN or business information.
  • Using our products for any illegal, harmful, or unethical purpose.
  • Circumventing our minimum order quantities or pricing structures through deceptive means.

Violation may result in immediate account termination, order cancellation, and legal action where warranted.

11. Termination

Cadabra India reserves the right to suspend or terminate any account or access to our services at any time, with or without notice, for reasons including violation of these Terms, non-payment or repeated chargebacks, fraudulent or suspicious activity, misuse of B2B pricing or channel-partner agreements, or any conduct deemed harmful to Cadabra India, our brand partners or other customers. Upon termination, any outstanding orders may be cancelled and pending payments will remain due. Termination does not affect any rights or obligations that arose prior to termination.

12. Relationship with Shopify

Cadabra India is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make in our Store are made directly with Cadabra Secure Private Limited. Shopify is not responsible for any aspect of any sales between you and Cadabra India, including any injury, damage or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Cadabra India.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872; the Sale of Goods Act, 1930; the Consumer Protection Act, 2019; the Information Technology Act, 2000; the CGST Act, 2017; and the Digital Personal Data Protection Act, 2023.

  • Jurisdiction. All disputes shall be subject to the exclusive jurisdiction of the courts at Noida, Uttar Pradesh, India.
  • Arbitration. Parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
  • Language. These Terms are written in English. In case of any conflict with a translated version, the English version shall prevail.

14. Changes to These Terms

Cadabra India reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our platform after any changes constitutes acceptance of the revised Terms. For significant changes, registered B2B customers will be notified via email.
